Terms and Conditions of Use of METARY and its Associated Services

The Platform and associated Services are operated by DATAVAULT BLOCK TECHNOLOGY (hereinafter "METARY"), an entity duly incorporated under the laws of Dubai, with its registered address at Dubai Silicon Oasis, DDP, Building A1, Dubai, United Arab Emirates, License Number 28891.

Section 1: Introduction and General Terms

1.1 Introduction

1.1.1 These Terms and Conditions ("Terms") govern the use of the METARY platform ("Platform"), including all associated services such as METARY Search, METARY Portfolio, METARY Metrics, METARY Tools, METARY Resources, METARY Academy, and METARY Folders ("Services") by users ("User" or "Users").

1.1.2 By accessing and using the Platform and Services, Users agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to any of these conditions, you should not access or use the Platform or Services.

1.2 Legal Contract

1.2.1 These Terms constitute a legally binding contract between you, the User, and METARY.

1.2.2 These Terms also include METARY's Privacy Policy and Cookie Policy, which are incorporated herein by reference.

1.3 Modifications and Updates

1.3.1 METARY reserves the right to modify these Terms at any time. Modifications will take effect immediately upon posting on the Platform.

1.3.2 It is the User's responsibility to review these Terms periodically.

1.4 Additional Requirements and Limited Access

1.4.1 Access to certain Services or features of the Platform may require additional requirements to be met or acceptance of additional terms and conditions.

1.4.2 Access to the Platform and Services is limited to those Users who possess non-fungible tokens ("NFTs") from the Metary Genesis collection and those who subscribe to the Platform in accordance with applicable subscription terms.

Section 2: Eligibility and User Obligations

2.1 Age and Legal Capacity Requirements

2.1.1 To access and use the Platform and Services, Users must be at least 18 years old and have the legal capacity to enter into a contract.

2.1.2 By using the Platform and Services, the User represents and warrants that they meet these requirements.

2.2 User Registration and Accounts

2.2.1 Some Services require the User to register and create an account on the Platform.

2.2.2 The User is responsible for providing accurate and up-to-date information during the registration process and for updating such information as necessary.

2.2.3 The User is solely responsible for the security of their account, including any use of their account by third parties, with or without their consent.

2.3 Acceptable Use

2.3.1 The User agrees to use the Platform and Services in compliance with all applicable laws and regulations, including, but not limited to, intellectual property laws and privacy laws.

2.3.2 The User shall not use the Platform or Services for fraudulent, abusive, or illegal conduct.

Section 3: Requirements for Using the Platform

3.1 Minimum Age and Legal Capacity

To access and use METARY, users must be at least 18 years old and have the legal capacity to enter into a contract under the applicable laws in their jurisdiction of residence. By accessing and using METARY, you represent and warrant that you meet these requirements.

3.2 Registration and Verification

3.3 Limited Access

Access to certain areas of METARY is restricted to holders of NFTs from METARY's Genesis Collection and/or platform subscribers. If you are not an NFT holder or subscriber, your access and use of METARY may be limited.

3.4 Prohibitions

It is strictly prohibited:

  • Using METARY for any illegal or unauthorized activity.
  • Attempting to gain unauthorized access to systems or computer networks connected to METARY.

4. NFTs in METARY's Ecosystem

4.1 Acquisition of NFTs

METARY allows users to acquire NFTs from the Genesis Collection through the platform. The acquisition of these NFTs is subject to both these Terms and Conditions and any specific terms and conditions that apply to the acquisition of NFTs.

4.2 Ownership and Use of NFTs

When acquiring an NFT from the Genesis Collection, the user obtains a limited license to access and use specific services and features within METARY's ecosystem. However, acquiring an NFT does not grant ownership rights to any element of METARY, including but not limited to its software, data, and content.

4.3 Transfer of NFTs

The transfer of NFTs between user accounts must comply with all applicable laws and regulations, including intellectual property laws and KYC and AML laws. METARY reserves the right to void the transfer of NFTs that violate these Terms and Conditions or applicable law.

4.4 Revocation and Suspension of NFTs

METARY reserves the right to revoke or suspend any NFT if it is determined that the user has violated these Terms and Conditions, used the NFT for illegal or inappropriate purposes, or engaged in activities that could damage the reputation or operation of METARY.

5. User Registration and Obligations

5.1 Registration Requirements

To access certain features of METARY, users are required to register and create an account. During the registration process, users must provide accurate, up-to-date, and complete information.

5.2 Information Verification

METARY reserves the right to verify the information provided during registration. This may include requesting additional documentation to validate the user's identity, in accordance with KYC and AML laws and regulations.

5.3 Account Security

Users are responsible for maintaining the confidentiality of their username and password. Any activity under a user account is the sole responsibility of the account holder.

5.4 Appropriate Use

By using METARY, users commit not to use the service for illegal or prohibited purposes under these Terms and Conditions. This includes, but is not limited to, fraudulent use, abuse, or manipulation of the system and/or provided functionalities.

5.5 Account Cancellation

METARY reserves the right to cancel or suspend any user account if it is determined that the user has violated these Terms and Conditions, provided false or incomplete information during registration, or engaged in activities that could damage the reputation or operation of METARY.

6. Intellectual Property and Usage Rights

6.1 Content Ownership

All content, design, graphics, and other visual and programming elements on the METARY platform are the exclusive property of METARY or its licensors and are protected by applicable intellectual property laws.

6.2 Limited License

METARY grants users a limited, non-exclusive, non-transferable, and revocable license to access and use the platform, exclusively for personal and non-commercial purposes, in accordance with these Terms and Conditions.

6.3 Restrictions

Users may not copy, modify, distribute, sell, or rent any content from METARY or use such content in any other way for public or commercial purposes unless they have the express written consent of METARY.

6.4 Reporting Violations

If any user or third party believes that their content has been copied in a manner that constitutes a violation of intellectual property rights, they must notify METARY through official channels, providing all necessary details to investigate and resolve the situation.

6.5 Trademarks

The trademarks, trade names, logos, and any other identification of METARY are the exclusive property of METARY and may not be used without the prior written consent of METARY.

7. Limitations of Liability and Disclaimers

7.1 No Warranties

METARY provides the platform "as is" and "as available", with no warranties of any kind, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Limitation of Liability

In no event shall METARY, its directors, employees, partners, or agents be liable to you or any third party for any direct, indirect, incidental, special, punitive, or consequential damages, even if METARY has been advised of the possibility of such damages.

7.3 Indemnification

You agree to defend, indemnify, and hold METARY, its affiliates, and their respective directors, employees, and agents, harmless from and against any claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including, among others, attorney's fees) arising from: (i) your use and access to the Platform; (ii) violation of any term of these Terms and Conditions; (iii) violation of any third-party rights, including, among others, copyrights, property, or privacy rights; or (iv) any claim that your content caused harm to a third party.

7.4 Force Majeure

METARY shall not be liable for any failure or delay in the performance of its obligations herein if such failure or delay is the result of circumstances beyond its reasonable control, including, without limitation, acts of nature, wars, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, or strikes.

8. Reference to Privacy Policy

8.1 Separate Document

METARY's Privacy Policy is a separate document that describes how METARY collects, uses, discloses, and protects your personal information. It is recommended to review the Privacy Policy to understand our practices in this regard. The use of METARY's services implies acceptance of the practices described in the Privacy Policy.
